CARSOME Group Company Whistleblowing Policy

At CARSOME, we are committed to maintaining the highest standards of corporate governance. The Board of Directors and the Management Committee believe the good governance is essential and are guided by the best practices and principles in corporate governance which include a Whistleblowing Policy among others.

The policy set forth the avenues for legitimate disclosures to be objectively investigated and addressed. Individuals will be able to raise disclosures about questionable, unethical, or illegal practices in confidence and without the risk of reprisal. CARSOME expect our employees to conduct themselves with a high standard of professionalism and ethics in the conduct of our business and professional activities.

What is whistle blowing?

Whistleblowing is the voluntary disclosure of inappropriate, questionable, unethical, or unlawful behaviour and practices by the management or employees. It includes how employees, customers and investors are treated. This may include, but is not limited to: - 

● Abuse of power and position for personal gain;

● Forgery or alteration of any document or account belonging to companies within the Group;

● Misappropriation of company’s funds, securities, supplies, or other assets;

● Gross misconduct;

● Potential improprieties in financial reporting and concerns about Company's accounting practices, internal controls and auditing matters;

● Corruptions, bribery or inappropriate gifts;

● Conflict of interest without disclosure;

● Intentional provisions of incorrect information to the public;

● Fraud against investors and / or customers;

● Making fraudulent statement and / or supplying fraudulent information to regulatory bodies;

● Serious financial irregularity or impropriety;

● Serious breach of CARSOME’s Ground Rules and Employee Handbook;

● Actions which endanger the health or safety of employees or the public;

● Failure to comply with the provisions of the Government Laws and Regulations where the wrongdoer knowingly disregards or does not comply with such provisions;

● Non-compliance with policies and procedures;

● Any action which is intended to conceal any of the above;

● Any other improper matter which may cause financial or non-financial loss to CARSOME, or damage to its reputation.

Who can raise a disclosure?

Anyone has the right to whistle blow. This Policy applies to all matters involving the CARSOME’s employees (including previous employees and irrespective of their nature of employment status), customers and any other stakeholders / parties providing services to CARSOME, including but not limited to consultants, vendors, independent contractors and external agencies.

How to make a disclosure?

An individual who believes that any of the above concern exist, may report such matter through any of the following channels: -

  1. The Whistleblowing Hotline at 03-92127988 (Managed by Group Internal Audit “GIA”); or

  2. Complete the “Whistleblowing Disclosure Form” and submit the form to any of the following independent emails: -

  3. Whistleblowing mailbox at whistleblowing.gia@carsome.com (Managed by Head of Group Internal Audit (“GIA”); or

  4. Chairman of the Board Audit Committee at chairman@boardac.com

To facilitate an investigation into the alleged wrongdoing, where possible and applicable, the following information should be included when making a disclosure:

  • Brief description of the misconduct;

  • The date and location of the incidence;

  • The identity of the wrongdoer;

  • Supporting evidence and / or documents;

  • Other details deemed to be useful to facilitate screening and action to be carried out.

Where possible, the whistleblowers are encouraged to disclose their personal details to enable the Investigating Panels to contact the whistleblower for further information:

  1. Name; and

  2. Contact details - email address and / or telephone number.

How do CARSOME handle the information provided by you?

After having assessed the information disclosed, the Head GIA will consult with the Board Audit Committee and decide whether it warrants an investigation or may decide that other actions to be undertaken.

All reports received are treated with utmost confidentiality and investigated independently by the Group Internal Audit division who is the administrator of the whistleblowing policy. The division submits regular updates on whistleblowing reports received to the Board Audit Committee.

Whistleblower Protection

CARSOME commits to ensure that all disclosed information, including the identity of the whistleblower shall be treated with utmost confidentiality. All direct or indirect personnel working relative to a whistleblowing case, shall strictly protect the identity of the whistleblower and witnesses from unauthorized disclosure before, during and after an investigation.

CARSOME is also committed to safeguard the whistleblower from all acts of possible repercussions, retaliation or victimization arising from making the disclosure in good faith.
